Introduction

Welcome to Chondrule AI! These Terms of Use ("Terms") govern your access to and use of our website located at chondruleai.com (the "Site") provided by Chondrule AI Inc. ("Chondrule", "we", "us", or "our").

By accessing, browsing, or using the Site, or by submitting your email to join our early access waitlist, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue your use of the Site.

Chondrule is an early-stage, pre-product, pre-revenue startup. The Site is currently provided solely for informational and marketing purposes to introduce our product concept (AI orchestration for biomolecular design) and manage waitlist signups.

1. Early Access Waitlist & Eligibility

We allow users to submit their work email addresses to register interest in our upcoming biological design platform (the "Waitlist").

Eligibility Guidelines

  • Age Limit: You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use the Site and sign up for the Waitlist.
  • No Guarantee of Service: Joining the Waitlist does not guarantee that you will be granted access to the Chondrule AI platform, nor does it establish any contractual commitment, service level agreement, or customer relationship.
  • Waitlist Termination: We reserve the right to accept or reject Waitlist submissions, and to cancel or terminate the Waitlist program at any time in our sole discretion without notice or liability.

2. Intellectual Property Rights

The Site, including all of its content, features, and functionality (including but not limited to all information, text, software, code, graphics, images, logos, design visualisations, layouts, and brand names) is the exclusive property of Chondrule AI Inc. or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to access and view the Site solely for your personal, non-commercial, and informational use.

You must not copy, modify, distribute, reproduce, create derivative works of, publicly display, scrape, or commercially exploit any content from the Site without our express prior written permission.

3. Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable federal, state, local, or international laws or regulations.
  • Submit false, fraudulent, or misleading information via our Waitlist signup or contact forms.
  • Transmit any advertisements, promotional materials, spam, or unsolicited commercial communications.
  • Engage in any automated retrieval of data, scraping, or web crawling of the Site's contents.
  • Attempt to interfere with, damage, disable, or disrupt any parts of the Site, the server hosting the Site, or any connected databases.
  • Introduce viruses, trojans, worms, logic bombs, or other malicious software to the Site.

4. Disclaimer of Warranties

IMPORTANT NOTICE

THE SITE AND THE WAITLIST ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

CHONDRULE AI INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY CONTENT OR INFORMATION ON THE SITE IS ACCURATE, COMPLETE, RELIABLE, OR UP-TO-DATE.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHONDRULE AI INC., ITS AFFILIATES, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR USE) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SITE OR WAITLIST, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

6. Governing Law & Dispute Resolution

All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Delaware, United States, without giving effect to any choice or conflict of law provision.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.

7. Changes to These Terms

We reserve the right to modify, amend, or replace these Terms at any time in our sole discretion. All changes are effective immediately upon posting to the Site.

When we make updates, we will revise the "Effective Date" at the top of this page. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes.
